Osool & Bakheet announces capital restructuring of investee company

Riyadh — Mubasher: Osool & Bakheet Investment Company announced that the extraordinary general meeting (EGM) of its investee company, Creative Future for Digital Brokerage, approved a capital restructuring plan on 23 July 2026.

Osool & Bakheet currently holds a 59.66% stake in the investee’s paid-up capital and 54.98% of its issued capital, according to a bourse filing.

The shareholders first approved a reduction in issued capital from SAR 27.13 million to SAR 25 million.

The capital cut was achieved by cancelling 212,500 issued but unpaid shares to align the issued capital with the paid-up capital.

Following the reduction, the assembly approved a 32% capital increase from SAR 25 million to SAR 33 million.

Furthermore, the SAR 8 million increase process involves issuing 800,000 new ordinary shares at a nominal value of SAR 10 per share.

The expansion is funded by capitalizing SAR 5.32 million of debt owed to Osool & Bakheet, representing 532,000 shares, while other shareholders will subscribe to SAR 2.68 million, or 268,000 shares.

Osool & Bakheet has committed to covering any unsubscribed shares to ensure the full completion of the capital hike. The restructuring aims to support operational needs and future growth plans.

In nearly mid-July, the listed company received notification regarding the resumption of operations at one of its investee companies.
