Naseej International shareholders to vote on SAR 163.5m capital hike

Riyadh – Mubasher: Naseej International Trading Company has called for an extraordinary general meeting (EGM) to be held on 26 August 2026 to vote on a board recommendation to increase the company’s capital by SAR 163.46 million.

The proposed increase will be executed through a rights issue, raising the capital from SAR 108.97 million to SAR 272.43 million.

The capital hike represents a 150% increase, with the company issuing 16.34 million new ordinary shares at an offer price of SAR 10 per share.

According to the disclosure, the primary objectives of the capital injection are to settle financial obligations and support future growth strategies.

Specifically, Naseej International plans to allocate SAR 83.72 million for bank loan settlements and SAR 18.19 million for supplier payments.

Eligibility for the rights issue will be for shareholders owning shares on the day of the meeting and registered with the Securities Depository Center (Edaa) at the end of the second trading day following the assembly.

The meeting, scheduled for 18:30, will also address amendments to Articles 7 and 8 of the company’s bylaws to reflect the new capital structure of 27.24 million shares.
