Keir International shareholders agree to investment contracts, other agenda items

Riyadh – Mubasher: Keir International Company announced the results of its Ordinary General Assembly meeting (OGM) where shareholders approved the appointment of PKF as the company’s auditor.

The external auditor will review financial statements for the first half (H1) of 2026 and the full fiscal year ending on 31 December 2026, for a fee of SAR 500,000.

The assembly ratified several related party transactions conducted during the 2025 fiscal year, according to a bourse filing.

The contracts included a non-interest-bearing loan of SAR 15.96 million from former Chairman Mohammed bin Ali Al Dhalaan and a SAR 3 million loan from Irad Holding, linked to Vice Chairman Mamdouh bin Farouq Al Ghazawi.

Additionally, a cable supply contract valued at SAR 15.94 million with Modern Generation Company, also involving Al Ghazawi, was approved.

Shareholders further authorized a board remuneration of SAR 494,500 for the 2025 fiscal year.

The assembly also confirmed the appointment of Osama bin Fareej bin Saeed Al Owaidhi as an independent director, effective from 5 April 2026 to complete the current board term ending on 1 November 2028.
