Riyadh – Mubasher: Hedab Alkhaleej Trading Company invited its shareholders to participate in an Ordinary General Assembly meeting (OGM) scheduled for 21 July 2026, according to a bourse filing.
The meeting, which will be conducted virtually via the Tadawulaty platform, is set to address several critical items of corporate governance, including the election of a new Board of Directors for a four-year term and the authorization of interim dividend distributions for the 2026 fiscal year.
A primary item on the agenda is the election of board members from a pool of 17 candidates.
The new board’s tenure is slated to begin on 22 August 2026 until 21 August 2030.
The candidates represent a diverse range of professional backgrounds, including legal experts, financial consultants, and veterans of the Saudi banking and industrial sectors.
Notable nominees include current board members such as Mohammed Abdulaziz Al Shaya and Nasser Abdullah Alhumid, alongside new applicants with experience at major institutions such as Saudi Aramco, the Saudi Central Bank (SAMA), and various listed entities.
Beyond the election, shareholders will vote on a proposal to authorize the newly elected board to distribute interim dividends on a semi-annual or quarterly basis for the 2026 fiscal year. This move provides the board with the flexibility to manage capital returns in alignment with the company’s financial performance throughout the year.
Furthermore, the assembly will vote on delegating the authority of the OGM to the board regarding the licensing requirements stipulated in Paragraph (1) of Article 27 of the Companies Law.
This authorization would be valid for one year from the date of approval or until the end of the board’s term, whichever comes first, in accordance with the regulatory requirements for listed joint-stock companies.
Shareholders registered in the company’s records at the Securities Depository Center (Edaa) by the end of the trading session preceding the meeting are eligible to attend and vote.
Hedab Alkhaleej has confirmed that electronic voting will open at 01:00 on 17 July 2026 and will remain available until the conclusion of the OGM.
The company emphasized that the registration and voting processes on the Tadawulaty platform are free of charge for all shareholders.
The upcoming General Assembly represents a pivotal moment for Hedab Alkhaleej as it transitions to a new leadership cycle and establishes the framework for its 2026 dividend policy.
