Elm invites shareholders to vote on amendments at EGM

Riyadh – Mubasher: Elm Company has invited its shareholders to attend the Extraordinary General Meeting (EGM) scheduled for 19:00 on 25 August 2026.

The meeting will be conducted via modern technology through the Tadawulaty platform.

The agenda includes voting on extensive amendments to the company’s Articles of Association to align with Saudi Center for Economic Efficiency requirements.

Key proposals include modifying Article 2 to redefine the company as a "listed joint stock company" and updating Article 7 regarding capital structure.

The company’s capital remains at SAR 800 million, divided into 80 million shares with a nominal value of SAR 10 per share.

Shareholders will also vote on amending the term of the nine-member board of directors to not exceed 4 years and revising the dividend distribution policy to allow for interim dividends based on reviewed or audited financial statements.

Electronic voting for the assembly items is scheduled to begin at 01:00 on 21 August 2026. Under Article 31 of the bylaws, the meeting requires a quorum of shareholders representing at least 51% of voting rights.

At the end of June, Elm logged net profits valued at SAR 1.17 billion, an annual growth of 7.74% from SAR 1.09 billion.
